A Chester County company has an outstanding opportunity available for General Counsel. The role of the General Counsel is to serve as head legal counsel for all company operations. The General Counsel is a key member of the leadership team.
Manage the day-to-day legal activities and initiatives for the company.
Draft, negotiate, review and analyze a variety of contracts.
Leading company communications and coordinating with third parties and governmental officials in connection with environmental, zoning and land-use development matters.
Serve as the recognized subject matter expert in the area of land use law and regulations and zoning regulations.
Participates in the oversight of pending land use, zoning and permitting matters.
Prepares and negotiates construction contracts for new development and renovations.
Prepare commercial and residential leasing documents for all office, retail, and restaurant tenants.
Handles landlord/tenant legal matters.
Manage insurance coverage, policies, and claims for all properties.
Coordinates with outside counsel to handle legal and litigation matters.
Represent company in disputes with commercial and residential tenants. Handles evictions.
Handles lobbying activities with governmental agencies for favorable benefit to the company.
Manages real estate tax appeals. Handles association and covenant documents.
Handles obtaining of liquor licenses for businesses.
Handle all aspects of commercial real estate acquisitions (agreements of sale, due diligence, survey and title review, code compliance, deed preparation, closing preparation).
Review and negotiate commercial loan documents in connection with financing of acquisitions and refinancing of existing assets.
Review and advise on legal aspects of construction and development projects.
Involved with Advisory board, estate and tax planning.
Effectively managing outside counsel on matters to accomplish legal and business objectives.
Skills and Knowledge:
J.D. from an accredited law school and an excellent academic background. Licensed to practice in PA.
Minimum of 10 years relevant legal experience, 3 or more years land use experience preferred.
Broad legal experience in all areas of corporate law.
Excellent interpersonal and communication skills within and across departments and externally.
Strong writing skills.
Familiar with construction and AIA contract language.
Outstanding executive leadership and management skills in all aspects of a legal and business environment.
Good team player, ability to work effectively with individuals at all levels of the organization and outside counsel.
Excellent problem-solving and analytical skills.
Strong financial and business acumen.
